1Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. These terms apply to all visitors, clients, and others who access or use our services.

2Services

Quantumwebs Technologies provides website development, DevOps, cloud infrastructure, AI integration, and maintenance services. The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties. These Terms of Service govern the general relationship between us.

3Client Responsibilities

• Provide accurate, complete, and timely information required for project delivery.
• Designate a primary point of contact with authority to make decisions.
• Review and provide feedback on deliverables within agreed timelines.
• Ensure you have the rights to any content, assets, or materials you provide to us.
• Make payments according to the agreed schedule.

4Payment Terms

Payment terms are specified in individual project agreements. Generally, projects require a 50% advance before work begins, with the remaining balance due upon project completion. Invoices are due within 15 days of issuance. Late payments may incur interest at 2% per month. We reserve the right to pause work on accounts with outstanding invoices.

5Intellectual Property

Upon receipt of full payment, you own all custom code, designs, and content created specifically for your project. We retain ownership of our proprietary frameworks, tools, libraries, and methodologies developed independently of your project. We may use your project in our portfolio unless you request otherwise in writing.

6Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, technical architectures, pricing, and client data. Confidentiality obligations survive the termination of the engagement for a period of 3 years.

7Warranties and Representations

• We warrant that our services will be performed in a professional and workmanlike manner.
• We warrant that deliverables will materially conform to the agreed specifications.
• We do not warrant that our services will be error-free or uninterrupted.
• We do not warrant specific business outcomes such as revenue growth or search rankings.
• Third-party services and platforms are subject to their own terms and warranties.

8Limitation of Liability

To the maximum extent permitted by law, Quantumwebs Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

9Termination

Either party may terminate a project engagement with 30 days written notice. Upon termination, you are responsible for payment of all work completed to date. We will deliver all completed work and transfer relevant assets. Termination does not affect any rights or obligations that accrued prior to the termination date.

10Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation before pursuing legal action. These terms are governed by the laws of India, and any legal proceedings shall be conducted in the courts of Bangalore, Karnataka.

11Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. For existing clients, material changes will be communicated via email. Your continued use of our services after changes constitutes acceptance of the updated terms.
